Ethics and Compliance

Today, as a global company, CEMEX faces greater challenges than ever before. As our stakeholders demand more than just good financial results, technology and global communication have brought unprecedented scrutiny to our actions. We are expected to hold ourselves to the highest standards of corporate behavior wherever we operate.

ETHOS, a global initiative supported by employees from various areas of the company, seeks to assume these standards of behavior and promote activities that evolve and strengthen our corporate culture.

ETHOS

ETHOS was designed to help our employees integrate our ethics and regulatory standards into their daily work. ETHOS offers our employees the following benefits:

• Advice on issues of ethics, regulations and corporate governance.

• Access to a range of courses related to ethics and regulations.

• Direct access to local and global corporate policies.

• Advice and tools to help them manage ethical dilemmas.

• Generate greater awareness about what any lack of behavior would imply, both personally and for the company.

    ETHOS Line

We encourage all our employees, stakeholders and the general public to send us their suggestions, questions/concerns and to report any alleged violation of ethics, regulations or corporate governance through the ETHOS Line, an open and confidential communication channel.

    ethic

CEMEX’s culture and values are communicated clearly and quickly to our employees, stakeholders and the general public through our Code of Ethics. We are convinced that ethical behavior is a key factor in our success.

    Normativity

Regulation means acting in accordance with the letter and spirit of the law, our Code of Ethics and our internal policies. At CEMEX, we must comply with all laws and policies that apply to us, without exception. The importance of this principle cannot be minimized: if we compromise on matters that we perceive as small or irrelevant, we cross a threshold that can easily lead us to more serious actions, putting both our personal situation and that of the company at risk, and affecting seriously our corporate culture.

What happens if our employees report a violation of the law, our Code of Ethics or our policies?

CEMEX has developed mechanisms and policies to investigate complaints in an expeditious, professional, and fair manner. All investigations are confidential and may be anonymous, if the reporter wishes and applicable law allows. ETHOS Line is our institutional mechanism to present complaints or queries.

If our employees believe they have been retaliated against for filing a complaint or report, they should report it immediately through the ETHOS Line.

How does CEMEX audit or review compliance with our internal policies?

Our operational risks and compliance with our policies are periodically evaluated, mainly by the Process Evaluation Vice Presidency. Compliance with certain policies is also reviewed by legal, accounting, information security, or other departments as required.
